Agency Services Agreement (Public Offer)

Sole proprietor «Asanov Usonbek» (hereinafter — the Service Provider) publishes this public offer agreement (hereinafter — the Agreement) for video content production and YouTube channel management services through Goutub Agency at goutub.kg/agency (hereinafter — the Service). The person who placed an order and paid for the services (hereinafter — the Client) accepts the terms of the Agreement in full.
1. Acceptance
- 1.1. Acceptance of this offer constitutes the Client's combined actions: checking the agreement box in the order form and paying for the selected plan through the FreedomPay payment service.
- 1.2. From the moment payment is received, the Agreement is considered concluded under the terms of the plan and niche specified in the order.
2. Scope of Services
- 2.1. The Service Provider provides video content production services (script, voice-over, visuals, editing, thumbnails) and YouTube channel management for the Client: scheduled publishing, SEO optimization (titles, descriptions, tags), and monthly reporting.
- 2.2. The scope of services is determined by the plan selected in the order:
- "Starter" — up to 12 videos per calendar month;
- "Growth" — up to 18 videos and up to 18 Shorts per calendar month.
- 2.3. Production is carried out using the Goutub software platform (including automated content generation technologies) under the editorial oversight of the Service Provider.
- 2.4. The channel topic ("niche") is fixed in the order. The Service Provider agrees not to take on other channels in the same niche while the Agreement with the Client is active ("one niche — one client").
3. Service Delivery
- 3.1. Within 1 (one) business day after payment, the Service Provider contacts the Client using the contact details from the order to agree on details: channel (existing or new), format, language, and strategy.
- 3.2. Publication of the first videos — within 5 (five) business days after agreeing on details and the Client providing the necessary access.
- 3.3. Channel access is granted through YouTube's built-in permissions system (the "Manager" role or equivalent). The Service Provider does not request or store the Client's account passwords.
- 3.4. The Client may approve the list of topics; if no objections are raised within 2 business days, the topics are considered approved.
- 3.5. Services are provided in periods: a calendar month or 12 (twelve) calendar months for annual payment. The first period begins on the date of the first video publication; for annual payment, the monthly volume (clause 2.2) is maintained for each month of the period.
4. Pricing and Payment
- 4.1. The cost of services is determined by the plan at the time of ordering and is stated in Kyrgyzstan som (KGS). Payment is 100% prepayment for the upcoming period (month or year) via FreedomPay (Visa, Mastercard, ELCART). Annual payment is offered at a discount compared to twelve monthly payments; the discount cannot be combined with other promotions unless otherwise specified in a promo code.
- 4.2. Renewal for the next period is made by a separate payment via an invoice or link sent by the Service Provider. Automatic charges are not applied.
- 4.3. If the next period is not paid, service delivery is suspended, and the niche reservation is released after 10 (ten) calendar days.
5. Rights to Work Results
- 5.1. Exclusive rights to video materials created during a paid period transfer to the Client upon full payment for that period and publication of the materials on the Client's channel.
- 5.2. Until payment for the corresponding period is made, rights to the created materials belong to the Service Provider.
- 5.3. The Service Provider may use anonymized channel metrics (without the channel name or Client data) in its own marketing materials, unless the Client has expressly prohibited such use in writing.
6. Warranties and Limitation of Liability
- 6.1. The Service Provider guarantees the scope and quality of work under the plan: the number and length of videos, SEO optimization, publication regularity, and reporting.
- 6.2. The Service Provider does not guarantee: enrollment in the YouTube Partner Program, view counts or subscriber numbers, revenue amount, or timelines for reaching monetization thresholds. Such decisions are made by YouTube (Google LLC), over which the Service Provider has no control.
- 6.3. The Service Provider does not use artificial metric inflation methods. If the Client independently applies metric inflation to the channel, the Service Provider may terminate the Agreement without a refund for the current period.
- 6.4. The Service Provider may decline to work with topics that violate YouTube's policies or the laws of the Kyrgyz Republic, with a refund of payment for services not yet rendered.
- 6.5. The Service Provider's total liability is limited to the amount actually paid by the Client for the last paid period.
7. Refunds and Termination
- 7.1. Before production begins (clause 3.2), the Client may cancel the Agreement with a 100% refund of the current period's payment.
- 7.2. After production begins, a refund for the current period is calculated proportionally to the number of videos not yet produced within the plan's scope, minus actually incurred preparation costs.
- 7.3. Refund requests are sent to support@goutub.kg; review period — 10 business days; refunds are issued by the same method used for payment.
- 7.4. Either party may choose not to renew the Agreement for the next period without giving reasons.
8. Personal Data
8.1. By placing an order, the Client consents to the processing of the data provided (full name, phone number) for the performance of the Agreement. Data is processed in accordance with the Privacy Policy and is not shared with third parties other than the payment service.
9. Miscellaneous
- 9.1. The Service Provider may amend the offer terms; concluded Agreements are governed by the version in effect at the time of acceptance.
- 9.2. All matters not covered by the Agreement are governed by the laws of the Kyrgyz Republic. Disputes are resolved through negotiation; failing that, in court at the Service Provider's location.
- 9.3. The parties recognize the legal validity of correspondence via the contact details specified in the order and in the Service Provider's details.
